Managed Care Service Terms

Setup Your AI managed hosting, care, and backup terms.

These terms apply to monthly managed website care, hosting coordination, maintenance, domain-renewal coordination, backup, restore, and related premium services.

1. Relationship To The Main Terms

These Managed Care Service Terms are in addition to the Setup Your AI Terms of Service. If a signed order, statement of work, or invoice gives more specific terms for your managed care plan, that written agreement controls for that service.

2. Covered Services

Managed care may include hosting coordination, domain-renewal coordination, uptime checks, small content edits, provider-native rollback support, off-provider backups, restore assistance, billing reminders, and related operational work. The exact scope depends on the plan, invoice, or written agreement you accepted.

Unless a written agreement says otherwise, emergency restore labor, hacked-account recovery, malware cleanup, provider-account recovery, DNS dispute work, content reconstruction, legal compliance review, accessibility remediation, and ecommerce/payment incident response are separately scoped and may require a separate quote.

3. Recurring Billing

Monthly care plans are recurring subscriptions billed in advance through Stripe or another payment provider Setup Your AI identifies in writing. By starting a monthly care plan, you authorize recurring charges for the selected plan until the service is canceled, expires, or is replaced by a later written agreement.

You are responsible for keeping a valid payment method on file. You may be directed to a Stripe-hosted billing portal or invoice page to update payment details, view invoices, or manage billing.

Unless a written agreement says otherwise or applicable law requires otherwise, recurring fees are nonrefundable once billed, included edits do not roll over, and partial months are not prorated. A chargeback, payment reversal, suspected fraud, or disputed payment may be treated as nonpayment and may result in immediate suspension while the issue is reviewed.

Setup Your AI may charge or quote reinstatement, recovery, rush, collection, or administrative fees after suspension, cancellation, failed payment, chargeback, provider lockout, or account recovery. To the maximum extent allowed by law, you are responsible for reasonable costs Setup Your AI incurs to collect overdue amounts or respond to a payment dispute.

4. Plan Limits

Included edits do not roll over unless a written agreement says otherwise. Small content edits are ordinary text, image, menu, link, event, staff, or basic page updates that fit the plan. New pages, redesigns, custom features, integrations, ecommerce work, copywriting, emergency support, or urgent turnaround may be quoted separately.

5. Hosting And Domains

If Setup Your AI coordinates hosting or domain renewal, you remain responsible for accurate business ownership information, billing information, registrar requirements, provider terms, and any third-party fees not expressly included in the plan. Domain renewals depend on registrar availability, account access, and timely payment.

Business email accounts should be owned by you. Unless a written agreement says otherwise, managed website care may include DNS-record coordination for a mailbox provider you own, but does not include Setup Your AI hosting your inbox, reading your email, retaining mailbox access, or administering your business email account.

If Setup Your AI controls the hosted environment, suspension may include disabling public access, replacing the site with a hold page, pausing server processes, changing hosting configuration, changing DNS records controlled by Setup Your AI, or otherwise hiding the site from public traffic. If you control the registrar, DNS, hosting account, ecommerce account, or third-party platform, service may be limited or impossible unless you provide timely access and approvals.

6. Backups And Restore Points

Backup plans are intended for disaster recovery, not as a public archive, legal-record system, version-control system, or substitute for your own business records. Backup availability depends on the active plan, current payment status, provider availability, backup size, and the last successful backup run.

Small Business Hosting includes only the basic backup or rollback support stated in the accepted plan, invoice, or written agreement. Custom Hosting & Backup is quoted separately and may include daily, weekly, monthly, or custom retention depending on site size, file volume, database needs, change rate, and recovery-window requirements.

Setup Your AI may use encrypted off-provider storage and backup automation. A restore may still require manual work, provider access, DNS changes, customer review, or a separate recovery quote.

Backups and restores are not guaranteed to be complete, current, or successful. Backup jobs may fail, skip material, capture corrupted data, be blocked by access permissions, exceed plan limits, be affected by customer changes, be affected by third-party provider outages or API changes, or fail because of software defects, automation errors, encryption-key or credential problems, configuration mistakes, malware, hacking, accidental deletion, or other events outside the ordinary backup path.

Unless a written agreement expressly says otherwise, Setup Your AI does not guarantee restoration of any particular file, image, page, database row, transaction, form submission, order, user account, email, analytics record, version, timestamp, or configuration. You are responsible for keeping independent copies of business records, original source files, credentials, product data, customer records, photos, brand assets, and other material you cannot afford to lose.

7. Security And Access

Do not send passwords, API keys, private keys, or payment details by ordinary email or chat. Setup Your AI may ask you to grant delegated access, create a scoped user, share a scoped token through an approved channel, or join a screen share instead.

You are responsible for promptly removing Setup Your AI access when a service ends if the provider account is owned by you.

8. Delinquency, Suspension, And End Of Service

If a recurring payment fails, Setup Your AI may send billing reminders and ask you to update your payment method. If the account remains unpaid, Setup Your AI may mark the account past due, pause non-emergency edits, pause optional maintenance, pause backup work, or require payment before additional work continues.

At 30 days past due, Setup Your AI may mark the account delinquent and pause non-emergency edits or new work. At 60 days past due, Setup Your AI may further limit maintenance and backup work. At 90 days past due, Setup Your AI may suspend service, hide or take the site offline, stop backup jobs, and remove or make unavailable backup material.

After a service is suspended, canceled, ended, or 90 days past due, Setup Your AI does not guarantee that any backup, restore point, working copy, hosting configuration, or project material will remain available. Reinstatement, recovery, or restoration may require a separate quote and may not be possible.

Billing reminders and service warnings are courtesy notices, not a condition to suspension or offline action. Failure to receive, open, read, or respond to a reminder does not waive Setup Your AI's right to suspend service, hide or take a site offline, stop work, or require payment before reinstatement.

Setup Your AI may suspend service sooner when continued service could create security risk, legal risk, payment risk, provider-account risk, abuse risk, harm to another customer, harm to a third-party service, or material operational burden.

9. Billing And Service Emails

Billing reminders, failed-payment notices, suspension warnings, backup-failure notices, restore notices, and service-status emails are transactional service communications. Setup Your AI may log these emails, provider message identifiers, timestamps, related invoice or subscription identifiers, and delivery status in its customer records.

10. No Guarantee Of Continuous Operation

Setup Your AI will use reasonable care for covered managed services, but does not guarantee uninterrupted uptime, uninterrupted third-party service availability, immediate restore, full recovery from every incident, search ranking, conversion results, legal compliance, or immunity from hacking, provider outages, registrar issues, payment failures, customer error, or third-party platform changes.

No uptime service level agreement, restore-time objective, recovery-point objective, service credit, refund right, penalty, or liquidated-damages remedy applies unless it is expressly stated in a signed written agreement for that managed-care plan.

To the maximum extent allowed by law, Setup Your AI is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits; lost revenue; lost customers; lost opportunities; loss of goodwill; loss of search ranking; lost advertising spend; business interruption; lost, corrupted, unavailable, or unrecoverable data; or damages arising from suspension, downtime, backup failure, restore failure, third-party provider action, or taking a site offline under these terms.

To the maximum extent allowed by law, Setup Your AI's total liability for managed-care services is limited to the amount you paid to Setup Your AI for the affected managed-care service during the three months before the event giving rise to the claim. If applicable law does not allow a limitation in that form, the limitation applies to the greatest extent the law allows.

11. Force Majeure And Third-Party Services

Setup Your AI is not responsible for delay, failure, data loss, downtime, backup failure, restore failure, domain failure, billing failure, or service interruption caused by events outside its reasonable control, including internet outages, cloud-provider outages, registrar actions, payment-provider actions, platform policy changes, API changes, security incidents, malware, denial-of-service attacks, labor disruption, natural disaster, government action, or customer-side access, configuration, content, or payment problems.

12. Governing Law, Venue, And Survival

Unless applicable law requires otherwise, these terms are governed by Colorado law, without regard to conflict-of-law rules, and disputes related to managed-care services must be brought in the state or federal courts serving Colorado. You consent to those courts for disputes related to the managed-care service.

Any section that by its nature should survive termination survives suspension, cancellation, expiration, nonrenewal, or end of service, including payment obligations, plan limits, backup and restore limits, customer independent-copy responsibility, suspension rights, email-log rights, disclaimers, limitation of liability, force majeure, governing law, and collection rights.

13. Changes To Managed Care Terms

Setup Your AI may update these terms over time. The version accepted for a specific subscription, invoice, or service period applies unless both sides agree otherwise or a later renewal, invoice, or written agreement incorporates newer terms.
