Setup Your AI — Terms of Service.

1. Who These Terms Cover

These terms apply whenever you submit information, materials, or payment to Setup Your AI for any service we offer. Today that includes the $99 AI Facelift preview, selected facelift add-ons, accepted continuation build packages, and ad-hoc AI consulting or implementation engagements. They also apply to any future Setup Your AI service unless we replace them with a later signed agreement, statement of work, or service-specific terms for that engagement.

The AI Facelift sections below (preview, generated layouts, add-ons, continuation builds) are written for that product specifically. For AI-consulting engagements that don't involve a generated website preview, the same overall framework applies — your authority and rights warranties, our portfolio license, payment, dispute, and limitation-of-liability terms — even when the specific delivery shape differs from the preview-and-build flow.

2. Electronic Signature And Agreement Record

By typing your legal name, checking the electronic signature box, accepting these terms, and continuing to checkout, you intend to electronically sign these Setup Your AI Terms of Service. The typed legal name, checkbox acceptance, checkout email, payment or order record, accepted terms version, timestamp, and submitted intake are intended to be associated with the agreement record.

Setup Your AI may store the legal signer name, signer title or role, business legal name or LLC, business legal address, typed electronic signature, checkout email, payment/order details, accepted agreement version, timestamp, source links, submitted materials, and generated project records with the Supabase intake row, Stripe payment record, customer account, local project folder, and future backend agreement storage.

3. Customer Identification And Authority

You agree that Setup Your AI may rely on the legal identity information you provide, your checkout email, Stripe payment/order record, account login, and business materials to identify the customer and signer. Setup Your AI may ask for additional proof of authority, domain control, business registration, billing match, or written approval before delivering or continuing a project.

By submitting a website, public business page, profile, listing, logo, photo, menu, brochure, business card, or other material, you confirm that you represent the business and are authorized to request a preview or continuation build. You are responsible for making sure that the content, logos, photos, text, trademarks, customer information, and other materials you submit can legally be used for this purpose.

You represent and warrant that you have all necessary rights, licenses, permissions, and releases to submit the materials and reference links you provide, including any third-party photos, logos, fonts, illustrations, copy, reviews, testimonials, trademarks, screenshots, and brand assets. Do not submit material you do not own or do not have permission to use.

This warranty also applies to any third-party material you approve for use in your final preview or site, including material that Setup Your AI surfaces on your behalf from your prior websites, public business pages, social profiles, credential or trainer directories, archived snapshots, AI-generated outputs, or other sources during preview generation. You are responsible for reviewing and confirming the rights status of every approved asset on the same standard as material you submit yourself.

4. Permission To Use Submitted Website Data

You give Setup Your AI permission to access, review, copy, screenshot, summarize, transform, and otherwise use the submitted website URL, publicly available website content, public business pages, intake answers, reference links, and related materials to create an AI-assisted preview, first-page concept, accepted continuation build, and project recommendation.

You also allow Setup Your AI to use submitted materials, generated concepts, prompts, process notes, and preview outcomes to improve the internal process for generating better website previews. Setup Your AI has no interest in using your business data outside of creating your preview, communicating with you, operating the service, protecting the business, improving the site-generation process, and completing an accepted build.

5. No Sensitive Or Regulated Data

Do not submit private customer records, passwords, payment details, protected health information, legal case data, confidential employee records, or other sensitive regulated data. If you submit sensitive information anyway, you are responsible for that submission and for any consequences of including it.

6. AI And Third-Party Services

The services may be created with AI tools, hosting services, ecommerce services, analytics tools, authentication tools, document storage, and other third-party providers. Those services may process submitted content as needed to create the preview, host it, process payment, operate the service, or complete an accepted build.

7. AI-Assisted Development Risks

You understand that AI-assisted design, code, copy, automation, and website generation can introduce mistakes, bugs, security weaknesses, unexpected behavior, inaccurate assumptions, or exploitable implementation details. Setup Your AI uses human review, testing, and where appropriate AI-assisted audits to reduce these risks, but no review process can guarantee that all issues will be found.

You also understand that modern website and software work commonly relies on AI tools, frameworks, libraries, code generators, integrations, and third-party services, and that relatively few projects are written or reviewed line-by-line from scratch. By using the service, you accept the inherent risk of AI-assisted and tool-assisted development, including the possibility that later maintenance, security review, updates, fixes, or remediation may be needed.

8. Preview Ownership And Use

The $99 preview is a temporary sales and planning artifact, not a completed website transfer. Preview concepts, generated layouts, source files, prompts, process notes, and deployment packaging remain Setup Your AI property unless an accepted build package or later agreement says otherwise.

You may review the preview for decision-making. You may not copy, rebuild, publish, resell, remove attribution from, or hand off the preview to another provider as implementation material unless Setup Your AI gives written permission or an accepted paid project agreement grants those rights.

8.5 Portfolio And Promotional Use

You grant Setup Your AI a perpetual, worldwide, royalty-free, non-exclusive license to use your name, your business or organization name, screenshots of your website as it appeared before the engagement, and screenshots, URLs, or excerpts of the work Setup Your AI produced for you (including the $99 preview and any continuation build) in case studies, portfolio listings, social-media posts, paid advertising, the setupyour.ai website, and sales materials.

This is the standard "before and after" portfolio right. It does not extend to any sensitive or confidential information you submit, and it does not require us to publish anything. If you have a specific reason your business should not be named or shown publicly — for example, you are in a sensitive industry or you do not want clients learning you outsourced the build — email jim.p.shepherd@gmail.com before accepting these terms and we will note the exception in writing.

9. Your Existing Materials

Setup Your AI does not claim ownership of your existing website content, trademarks, logos, photos, brand assets, or other materials you already own. You keep your rights in your existing materials. You are responsible for confirming that those materials do not infringe anyone else's rights.

9.5 Materials Setup Your AI Surfaces On Your Behalf

During preview generation, Setup Your AI may use automated tools to pull starting-point material from sources that look related to your business, including but not limited to: your current and prior websites, archived snapshots of those websites (for example via the Internet Archive's Wayback Machine), your public social media profiles, business listings and directories, photographs that appear on credential, trainer, certification, or membership pages where your name is listed, and AI-generated text or imagery produced for the preview. Material surfaced this way is provided as a starting point for your decision-making and is not warranted by Setup Your AI to be free of third-party rights, licenses, or claims.

Before approving any preview, finished site, or other deliverable that includes material Setup Your AI surfaced on your behalf, you are responsible for confirming that you have the rights, licenses, permissions, or releases to use each photo, illustration, quote, testimonial, name, mark, color, font, or other asset in the manner the deliverable uses it. If you are not sure, swap the asset for one you own or have licensed before approving the deliverable for public use.

AI-generated text and imagery should be reviewed for accuracy, attribution, and potential conflict with third-party brand assets before public use. Generative AI tools can produce output that resembles existing copyrighted, trademarked, or trade-dress material without explicit notice; that risk is yours to manage in your review.

10. AI Logo Refresh Add-On

AI logo refreshes are concept work only. A logo refresh may explore a simple mark, type direction, color direction, or rough brand starting point for the preview, but it does not include trademark clearance, legal availability review, copyright registration, brand strategy, or a guarantee that the concept can be registered or used exclusively.

You are responsible for reviewing any logo concept before public use, checking whether it conflicts with another brand, and deciding whether to hire a qualified trademark or intellectual-property professional before adopting it.

11. Payment, Credit, And Build Packages

The AI Facelift Preview costs $99. If you hire Setup Your AI for the same business/site project within 30 days, the build invoice includes a visible -$99 Preview Credit unless a separate written agreement says otherwise. If you do not continue with a build, there is no larger build bill and the temporary preview may expire. Payment processing is handled through Stripe or another explicitly configured third-party payment provider.

Continuation build pricing, selected add-ons, review calls, final delivery, tweaks, hosting, support, and monthly services depend on the accepted package or written invoice. The base agreement stays attached to the same project unless replaced by a later signed agreement.

12. Temporary Preview Hosting

Setup Your AI may host preview work privately, password-protect it, watermark it, block indexing, obfuscate assets, and remove it after a limited review window. The standard preview review window is 72 hours unless Setup Your AI agrees to extend it.

13. Required Credit On Finished Facelifts

Finished facelift projects include a required "Made by Setup Your AI" or similar footer credit unless Setup Your AI agrees in writing to remove or modify it.

14. No Guaranteed Outcome

The services are intended to show and build a possible direction. Setup Your AI does not guarantee increased revenue, search rankings, conversion rates, legal compliance, accessibility compliance, or any specific business result from the preview or a later website build.

15. Your Review Responsibility

You are responsible for reviewing the preview and any later website copy, claims, pricing, images, policies, and representations before using them publicly. You are also responsible for how your submitted data, existing content, and approved website materials are used in your business.

16. Customer Indemnity

You agree to defend, indemnify, and hold harmless Setup Your AI, Big Laser LLC, and their owners, contractors, vendors, and service providers from claims, losses, damages, liabilities, costs, and expenses, including reasonable attorney fees, arising from materials you submit, materials Setup Your AI surfaced on your behalf and that you approved for use, rights or permissions you did not have, third-party intellectual-property claims, privacy claims, false or misleading business claims you approve, or your use of preview or generated materials outside these terms.

17. Limitation Of Liability

To the maximum extent allowed by law, Setup Your AI is not liable for claims, losses, damages, or disputes arising from materials you provide, your lack of authority to submit a website, third-party intellectual property claims, your use of preview materials outside the allowed review process, or your use of generated content after approval. Setup Your AI's total liability for the services is limited to the amount you paid for the services giving rise to the claim.

18. Changes To These Terms

Setup Your AI may update these terms over time. The version accepted during checkout or intake applies to that project unless both sides agree otherwise.
